Service Order
Customers can order services from Updox by executing or acknowledging service orders that detail the services being ordered, associated fees, and any additional terms. Each service order will be numbered sequentially and considered an addendum to the Master Service Agreement. Subsidiaries or affiliates of the Customer can also order services under this Agreement.
Software/Service
Updox grants Customer a non-exclusive, non-transferrable right to access and use the Service. Customers must create an account for access, ensuring all information is accurate and up-to-date. It is crucial to maintain account security and promptly report any unauthorized use. Restrictions on use include prohibitions on reselling, reverse engineering, or sharing account information. Text message compliance is emphasized, with penalties for misuse.
Maintenance and Applicable Laws
Updox may provide software updates and upgrades as necessary, which are considered part of the Service. Customers accessing the Service must comply with all applicable laws and regulations. Compliance with laws governing automatic calls, text messages, and payments is the responsibility of the Customer. Updox reserves the right to suspend the Service to prevent damage or degradation.
Fax Services and Suspension of Service
Updox may offer faxing services through third-party providers, subject to a separate addendum. Customers should be aware of potential changes to the terms and conditions of these Faxing Services. Access to the Service is subject to various laws, and Customers must ensure compliance. Updox retains the right to suspend the Service immediately if necessary.
